1. Definitions

  • "Moongate", "we", "us", "our" — the consulting practice operating under the name Moongate, registered in Hong Kong.
  • "User", "you", "your" — any individual accessing our website or enquiring about our services.
  • "Client" — an organisation or individual that has entered into a formal engagement agreement with Moongate.
  • "Services" — consulting services provided by Moongate, including scenario planning workshops, quality management system reviews, and knowledge management strategy engagements.
  • "Website" — the website located at https://moonggas.pro.
  • "Agreement" — these Terms and Conditions together with any engagement proposal or letter of engagement accepted by a Client.

2. Acceptance of Terms

By accessing this Website or engaging our Services, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and agree to be bound by these Terms and Conditions. If you are accessing or using our Services on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

3. Description of Services

Moongate provides business consulting services to organisations based in or operating in Hong Kong. Our current service offering includes:

  • Scenario Planning Workshops (HKD 3,500 – HKD 16,500)
  • Quality Management System Reviews (HKD 2,800 – HKD 14,000)
  • Knowledge Management Strategy (HKD 2,500 – HKD 12,000)

Specific services, scope, deliverables, and pricing are detailed in individual engagement proposals. Service availability is subject to our current capacity and is not confirmed until a written engagement agreement is executed by both parties.

4. Engagement and Acceptance

A consulting engagement commences only upon both parties signing a written engagement proposal or letter of engagement. Oral agreements, email exchanges, or preliminary discussions do not constitute binding engagements. Each engagement defines the specific scope, deliverables, timeline, fee, and payment terms applicable to that project.

5. Client Responsibilities

To enable effective service delivery, Clients agree to:

  • Provide accurate, complete, and timely information relevant to the engagement
  • Make appropriate staff and documentation available as reasonably requested
  • Participate in scheduled sessions and review cycles without undue delay
  • Not use deliverables for purposes outside the scope agreed in the engagement
  • Keep confidential any methodologies, frameworks, or proprietary approaches shared by Moongate in the course of the engagement

6. Intellectual Property

All methodologies, frameworks, tools, and templates developed by or belonging to Moongate remain our intellectual property. Deliverables produced specifically for a Client engagement — including reports, strategic documents, and frameworks — are provided for that Client's internal use only.

Clients may not reproduce, distribute, or publish deliverables to third parties without prior written consent. Materials provided by the Client to support an engagement remain the Client's property; by providing such materials, the Client grants us a limited licence to use them for the purpose of the engagement only.

7. Payment Terms

Fees are quoted in Hong Kong Dollars (HKD) and specified in each engagement proposal. Standard payment terms are 50% of the agreed fee on engagement commencement and 50% upon delivery of the final deliverable, unless otherwise stated in the proposal. Invoices are payable within 14 days of issuance.

We accept payment by bank transfer. Late payment may result in a pause in engagement activity. We reserve the right to charge interest on amounts overdue by more than 30 days at a rate consistent with Hong Kong commercial practice.

8. Confidentiality

Both parties agree to treat as confidential all information received from the other party in connection with an engagement that is identified as confidential or that a reasonable person would consider confidential given its nature. This obligation survives the termination of any engagement for a period of three years.

We will not use Client confidential information for any purpose other than delivering the Services. Clients will not disclose Moongate's methodologies, pricing, or proprietary materials to third parties without prior written consent.

9. Disclaimers

Consulting services involve the exercise of professional judgment under conditions of uncertainty. Moongate provides its work with reasonable care and skill, but does not warrant that any particular outcome, result, or business improvement will be achieved as a result of our engagement.

Our Website is provided on an "as is" basis. We do not warrant that it will be uninterrupted, error-free, or free from harmful components. Content on this Website is for general informational purposes and does not constitute professional advice specific to your circumstances.

10. Limitation of Liability

To the maximum extent permitted by law, Moongate's total liability to any Client arising out of or in connection with an engagement shall not exceed the total fees paid by that Client under the relevant engagement agreement.

We are not liable for indirect, consequential, special, or punitive damages, including loss of profit, loss of data, or reputational damage, whether arising in contract, tort, or otherwise, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold Moongate harmless from any claims, losses, damages, or expenses (including reasonable legal costs) arising from your use of our Website in breach of these Terms, or from any false or misleading information provided to us in connection with an engagement.

12. Termination

Either party may terminate an engagement by providing written notice. If Moongate terminates due to Client breach, the Client remains liable for fees corresponding to work completed to the date of termination. If the Client terminates for convenience, a termination fee equal to 25% of the remaining unpaid fee may apply, as specified in the engagement proposal.

Sections relating to confidentiality, intellectual property, payment obligations, and limitation of liability survive termination of any engagement or these Terms.

13. Dispute Resolution

In the event of a dispute arising from or in connection with an engagement, the parties agree to first attempt resolution through good-faith discussion within 30 days of written notification of the dispute.

If resolution is not reached informally, either party may refer the matter to mediation under the Hong Kong Mediation Centre rules before commencing litigation. These Terms are governed by the laws of Hong Kong, and the parties submit to the exclusive jurisdiction of the Hong Kong courts.

14. General Provisions

  • Entire Agreement: These Terms, together with any signed engagement proposal, constitute the entire agreement between the parties regarding the subject matter.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it subsequently.
  • Assignment: You may not assign any rights or obligations under an engagement without our prior written consent. We may sub-contract elements of an engagement where appropriate, subject to maintaining confidentiality.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practice or applicable law. Material changes will be communicated by updating the date at the top of this page. Continued use of our Website or Services following any update constitutes acceptance of the revised Terms.
